Terms of Service

These Terms of Service (“Terms”) govern access to and use of the TraceGuard AI website and application (the “Service”) operated by TraceGuard AI (“TraceGuard,” “we,” “us,” or “our”). By creating an account, accessing a workspace, or using the Service, you agree to these Terms.

1. The Service

TraceGuard AI is a software-as-a-service platform that helps food manufacturers, importers, co-packers, and quality teams organize traceability records, practice mock recalls, connect supplier and customer data, and export compliance-oriented evidence packages. Features may include manual record entry, AI-assisted document extraction, FDA product search, connected partner sharing, notifications, and subscription billing.

The Service is a business tool. It does not replace your legal, regulatory, or food-safety obligations, and it does not submit reports to FDA or other authorities on your behalf unless explicitly stated in a separate written agreement.

2. Eligibility and accounts

  • You must be at least 18 years old and authorized to bind your organization.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must provide accurate account information and keep it current.
  • Workspace Admins control user invitations, roles, billing, and many workspace settings. You agree that actions taken through your account or by users you authorize are your responsibility.

3. Subscriptions and payment

Paid plans (such as Starter and Growth) are billed on a recurring basis through our payment processor unless otherwise stated at checkout. By subscribing, you authorize us and our payment processor to charge applicable fees, taxes, and renewals. Fees are non-refundable except where required by law or explicitly stated in writing. We may change pricing with advance notice; continued use after the effective date constitutes acceptance of new pricing for renewal periods.

Free trials, partner-connected access tiers, or promotional offers may have additional limits described at signup or in your workspace.

4. Your data and responsibilities

You retain ownership of operational data you submit to the Service. You grant TraceGuard a limited license to host, process, transmit, and display that data solely to provide and improve the Service, including AI-assisted extraction you initiate and sharing you authorize.

You agree that:

  • You have the right to upload and process all content you submit, including supplier and customer information.
  • You are solely responsible for the accuracy, completeness, and regulatory suitability of records, recalls, and exports created in your workspace.
  • You will not upload malware, unlawful content, or information you are not permitted to store in a cloud environment.
  • You will use role-based access appropriately and limit credentials to authorized personnel.

5. AI-assisted features

Document extraction and similar features suggest field values based on uploaded files. Suggestions may be incomplete or incorrect. You must review all extracted values before saving or completing an entry. TraceGuard is not liable for decisions made solely on unreviewed AI output.

6. Connected partners and sharing

If your workspace shares data with a connected partner company, you are responsible for confirming that sharing is permitted under your contracts and policies. Shared visibility is limited by product permissions and sharing settings you control; partner users access data according to their workspace role and connection status.

7. Acceptable use

You may not:

  • Reverse engineer, scrape, or attempt to bypass security or access controls except as permitted by law.
  • Interfere with the Service, other users, or underlying infrastructure.
  • Use the Service to violate law or third-party rights.
  • Resell or sublicense the Service without written permission.

8. Intellectual property

TraceGuard and its licensors own the Service, software, branding, and documentation. These Terms do not grant you any rights to our trademarks or proprietary materials except as needed to use the Service.

9. Confidentiality and security

We implement reasonable safeguards described in our Privacy Policy. You must promptly notify us of unauthorized access at security@traceguardai.com.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACEGUARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECALL OR AUDIT OUTCOMES WILL MEET REGULATORY REQUIREMENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACEGUARD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO TRACEGUARD IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You will defend and indemnify TraceGuard against claims arising from your data, your use of the Service, violation of these Terms, or violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.

13. Suspension and termination

We may suspend or terminate access for violation of these Terms, non-payment, security risk, or as required by law. You may stop using the Service at any time. Upon termination, your right to access the Service ends; provisions that by nature should survive will remain in effect.

14. Changes

We may modify these Terms by posting an updated version on this page. Material changes will be indicated by updating the “Last updated” date and, where appropriate, additional notice. Continued use after changes become effective constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles, except where mandatory consumer protections apply in your jurisdiction.
